1. Name
The name of the organisation shall be Waitakere Area Principals' Association.
2. Mission Statement
To provide collegial support, to promote professional development, and to actively monitor and develop the role of principals in the Waitakere area.
3. Objectives
The objectives of the Association shall be
- To be the key player in collegial and social support for principals in the Waitakere area.
- To co-ordinate professional development activities in the Waitakere area.
- To be a political voice for education.
- To be a voice for educating the public on matters pertaining to schools and education in the Waitakere area.
- To promote quality education for all students in the Waitakere area.
4. Membership
Membership shall be open to all school principals in the Waitakere area.
Acting Principals are welcome to attend general meetings and conferences.
Senior Leadership, at the invitation of their principal are welcome to attend general meetings and conferences.
The Association may invite persons employed in the field of education to be associate members.
5. Meetings
The Annual General Meeting shall be held in October each year.
At least 7 days notice of each meeting shall be given to each member by the Secretary.
Executive and General meetings shall normally be held twice each term.
6. Officers
At the AGM the following executive committee shall be elected from amongst financial members:
- President
- Junior Vice President
- The Senior Vice President is the immediate past President.
Each cluster will appoint committee members so that there are a total of two principals representing each cluster (including the three officers). Appointments are to be made by clusters within a month either side of the AGM.
The Executive Committee shall have power to co-opt 2 further committee members and may fill casual vacancies.
The Executive Committee shall be responsible to the Association and shall present an Annual Report, including an audited financial statement, to each Annual General Meeting.
7. Elections
(a) Nominations shall be called for in writing, on forms made available to members by the Secretary. Such forms to be returned to the Secretary not less than 10 days prior to the AGM, to enable names of nominees to be included in the notice of meeting.
(b) In the event of insufficient nominees being received for any office, candidates so nominated shall be declared elected and further nominations called for at AGM to fill remaining vacancies.
8. Quorum
The quorum at a General Meeting shall be 20 members. The quorum at an Executive Meeting shall be five members.
9. Secretary / Treasurer
A Secretary shall be appointed and employed by the Executive of the Association on behalf of the members of the Waitakere Area Principals' Association.
The Secretary may also act as Treasurer as decided by the Executive.
An honorarium shall be paid in quarterly instalments and shall be reviewed annually.
10. Sub Committees
The Association may appoint subcommittees for specific purposes and / or representatives on other organisations if required.
11. Finance
The financial year will run from 1 September - 31 August.
Any moneys received will be deposited in an account at the ASB Bank. This account will be named Waitakere Area Principals Association. The account will be operated by any two of the following: President, Junior Vice President and the Secretary.
There will be an annual audit of WAPA accounts each September.
All financial members shall have voting rights.
The Treasurer will present a finance report at each Executive meeting.
The annual subscription shall be fixed at the AGM and paid within that financial year.
A General Meeting may decide to levy members for special purposes. At least 7 days notice must be given to members of any meeting at which a resolution to levy members is proposed.
12. Life Members
Waitakere Area Principals may elect to Life Membership such persons as the Association considers suitable for such an honour.
The privileges of Life Membership will be the right to attend all meetings of the Association and to have speaking rights, but no voting rights. A list of Life Members will be kept with the Associations minutes, and names noted on membership lists.
13. Honorary Members
Honorary membership will be open to former full members who have retired or resigned, provided that honorary membership dates from the time of retirement or resignation.
Honorary members will be entitled to attend and speak at any Association meeting, but have no voting rights.
Each honorary member will pay a subscription which will be decided upon from time to time by the Executive.
A list of honorary members will be kept with the Association minutes, and names noted on membership lists.
14. West Auckland Education Centre Trust (Trading as Learning Network NZ)
The Trust has been established as an initiative of members of the Waitakere Area Principals' Association and the West Auckland education Centre. Members of the Association and others who join in the manner provided will be called ‘Trust Members'.
Membership entitles Trust Members to the benefit of first hand involvement in the programmes of the Trust and also to be the recipient of any surplus funds available for distribution by the Trustees.
15. Constitutional Changes
This constitution may be amended by any general meeting of the Association, a quorum being present, by a two thirds vote of all members present, provided that notice of such proposed amendment will have been emailed to each member at least 10 days before the meeting.
